Terms of Service

These Terms of Service govern your access to and use of SpanishPal.ai and its related websites, subdomains, applications, AI learning tools, voice and text conversation features, assessments, certificates, subscriptions, and other services made available by SpanishPal (collectively, the “Services”).

SpanishPal is operated by Windvale LLC, a Wyoming limited liability company registered in the United States.

By accessing or using the Services, creating an account, selecting a paid plan, clicking a button indicating acceptance, or otherwise agreeing to these Terms, you enter into a binding agreement with Windvale LLC. If you do not agree, do not access or use the Services.

These Terms incorporate the Privacy Policy, the Refund Policy, plan-specific information displayed on the pricing or checkout page, and any additional terms presented for a particular feature, promotion, school, employer, or organization account.

If you use SpanishPal on behalf of a company, school, university, employer, or other organization, you represent that you have authority to accept these Terms for that organization. A separate written agreement controls if it expressly conflicts with these Terms.

SpanishPal is an AI-powered Spanish learning and conversation platform. Depending on your plan, location, device, and available features, the Services may include:

• voice and text conversations with AI tutors or conversation partners;
• pronunciation, speaking, grammar, vocabulary, listening, reading, and writing practice;
• corrections, suggested expressions, translations, explanations, and personalized learning recommendations;
• role-playing and real-life conversation scenarios;
• learning records, progress tools, proficiency estimates, and CEFR-aligned assessments;
• language certificates or certificate verification pages;
• individual, education, business, and organization learning tools.

Features may differ between free and paid plans. The features included in a purchase are the features described on the pricing and checkout pages at the time of purchase. We may introduce, update, replace, limit, or discontinue features in accordance with these Terms and applicable law.

You may create an independent SpanishPal account only if you are at least 13 years old, are legally permitted to use the Services where you live, have the legal capacity to enter into these Terms, and are not prohibited from using the Services by applicable law.

If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf. Children under 13 may not create an independent consumer account. Access for younger learners may be provided only through an approved parent, guardian, school, or educational organization arrangement that complies with applicable law.

We may request reasonable information to verify age, parental authorization, account eligibility, or organizational authority.

Some features require an account. You agree to provide accurate and current information, keep your email address and account details updated, protect your password and login credentials, and promptly notify us if you believe your account has been compromised.

Personal accounts are intended for one individual. You may not sell, lease, transfer, or share a personal account with unrelated users. You may not create accounts through unauthorized automated methods, impersonate another person, use false information, or create multiple accounts to avoid plan restrictions, usage limits, enforcement actions, or payment obligations.

You are responsible for activity performed through your account except to the extent the activity results from our failure to use reasonable security measures or where applicable law provides otherwise.

If your account is provided or managed by a school, university, employer, business, or other organization, that organization may create, assign, suspend, or remove access; manage licenses and learning groups; and view enrollment, usage, progress, assessment, or certificate information where included in the applicable plan.

The information available to an organization administrator depends on the plan, the organizational agreement, and the Privacy Policy. Your organization may control your continued access to an organization-managed account and may impose additional acceptable-use requirements.

SpanishPal uses artificial intelligence, speech recognition, text-to-speech, and language-processing technologies. AI-generated content may include conversation responses, corrections, translations, pronunciation guidance, vocabulary suggestions, grammar explanations, progress estimates, proficiency levels, recommendations, and certificate-related results.

Artificial intelligence may occasionally produce content that is incomplete, inaccurate, outdated, unnatural, inappropriate, or unsuitable for a particular context. You are responsible for reviewing AI-generated content and deciding whether to rely on or use it. SpanishPal does not guarantee that every response, correction, translation, pronunciation assessment, or level estimate will be accurate.

Do not rely on an AI conversation for an emergency or for a decision that may significantly affect health, safety, legal rights, finances, employment, education, or immigration status.

SpanishPal may provide learning assessments, estimated CEFR levels, progress reports, or language certificates. Unless expressly described otherwise, these are AI-supported educational records and are not government qualifications, university degrees, academic credit, regulated professional licenses, or official immigration or visa language examinations.

Schools, employers, universities, government authorities, and other third parties independently decide whether to recognize or accept a SpanishPal assessment or certificate. SpanishPal does not guarantee employment, admission, promotion, certification, immigration, or any other outcome.

You may not alter, forge, misrepresent, or fraudulently use a SpanishPal certificate or verification record.

Voice features require microphone access. SpanishPal accesses the microphone only when you select a voice feature, your browser or device grants permission, and the feature requires audio input.

Audio may be processed to recognize speech, create transcripts, provide pronunciation feedback, respond to your conversation, troubleshoot technical issues, or maintain learning history as described in the Privacy Policy.

You are responsible for ensuring that you have permission to record or submit any voice other than your own. Do not record another person through SpanishPal without the knowledge and permission required by applicable law.

Subject to these Terms, SpanishPal grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your own language learning, authorized classroom or educational use, or authorized internal business or employee training.

This license does not transfer ownership of SpanishPal, its software, content, teaching materials, interfaces, AI tutors, characters, branding, or technology. Your right to use the Services ends when your account or access is terminated.

SpanishPal may offer free access to selected features. Free access may be subject to daily or monthly limits, conversation limits, feature restrictions, limited storage or history, model availability, advertising, or promotional messages.

Free access does not guarantee that a feature or level of usage will remain available indefinitely. We may modify reasonable free-plan limits, but we will not retroactively charge you for usage represented as free. You will not be charged for a paid plan unless you take an action authorizing the purchase or recurring payment.

SpanishPal may offer monthly subscriptions, annual subscriptions, one-time purchases, lifetime access plans, education or business plans, and promotional or regional payment options.

Before purchase, the pricing or checkout page will display the material terms of the selected plan, which may include the plan name, included features, usage limits, billing interval, total price, currency, taxes or charges, whether the plan automatically renews, the renewal price or method for determining it, cancellation instructions, and any trial or promotional terms.

You are responsible for reviewing the displayed plan information before completing a purchase.

Prices are displayed on the pricing or checkout page before payment. Depending on your country and payment provider, the amount may include or separately identify sales tax, value-added tax, goods and services tax, or other legally required charges.

By submitting payment details, you authorize the applicable payment provider to charge the displayed amount and, for an automatically renewing subscription, future renewal amounts according to the disclosed billing schedule.

Your bank, card issuer, or payment provider may apply currency conversion charges, international transaction fees, or other fees not controlled by SpanishPal.

Payment may be processed by Windvale LLC, a third-party payment processor, a merchant of record, an app store, or another authorized sales platform. The applicable provider will normally be identified during checkout or on your receipt. Its payment terms may apply in addition to these Terms.

SpanishPal does not normally receive or store your complete payment card number or card security code.

A plan described at checkout as a recurring subscription will automatically renew at the end of each billing period until you cancel it. The billing period may be monthly, annual, or another period clearly stated before purchase.

By purchasing an automatically renewing subscription, you authorize the applicable payment provider to charge the payment method on file at the beginning of each billing period at the disclosed price, together with applicable taxes.

You may turn off automatic renewal before the next renewal charge. Where required by law, we or the payment provider will send trial-ending, renewal, long-term subscription, or price-change notices.

Cancellation before the renewal date prevents future renewal charges. It does not automatically reverse a charge completed before cancellation became effective, subject to the Refund Policy and applicable law.

We may change prices or paid-plan features for future billing periods. A price increase will not retroactively change the price of a completed one-time purchase or the current prepaid subscription period.

For an automatically renewing plan, we will provide advance notice of a material price increase where required by law. The notice will explain the new price and when it takes effect. You may cancel before the new price applies.

If you continue the subscription after the effective date of a properly disclosed price change, the plan may renew at the new price. Nothing in this section removes a cancellation, notice, or refund right that cannot legally be waived.

SpanishPal may offer trials, discounts, coupons, introductory pricing, or other promotions. The offer terms may specify eligibility, duration, included features, limits, the date payment begins, the post-promotion price, automatic renewal, and cancellation instructions.

Where a trial automatically converts into a paid subscription, this will be disclosed before enrollment. You must cancel before the trial ends to avoid the first paid charge unless applicable law provides an additional cancellation or cooling-off right.

Unless otherwise stated, promotions are limited to eligible users, cannot be exchanged for cash, cannot be combined with other offers, may be withdrawn before acceptance, and may be revoked in cases of fraud or abuse.

You may cancel an automatically renewing subscription at any time. For subscriptions purchased directly through SpanishPal, use the available account or subscription settings. Where a self-service option is unavailable, contact [email protected] and identify the email address associated with your account.

For subscriptions purchased through an app store, merchant of record, or another third-party platform, you may need to cancel through that provider’s subscription-management system.

Cancellation normally turns off future automatic renewal and allows access until the end of the current paid billing period. It does not automatically create a refund for the current period. Refund or immediate termination rights may apply under the Refund Policy or applicable law.

Keep any cancellation confirmation for your records. We will not require you to speak with a sales representative merely to cancel an online subscription that can otherwise be cancelled through your account, except where reasonable identity or account verification is needed.

Deleting learning data, deleting your account, and cancelling a subscription are separate actions. Deleting selected records or clearing learning history does not cancel a subscription.

If a subscription was purchased through a third-party provider, deleting your SpanishPal account may not automatically stop billing by that provider. Cancel through the applicable provider before deleting the account.

Account deletion may permanently remove conversations, voice recordings, transcripts, corrections, assessments, progress information, certificates, saved preferences, and access associated with the account. Save any records or certificates you wish to retain before deletion.

If you have a paid entitlement and are uncertain about the effect of deletion, contact [email protected] before confirming account deletion.

Refund eligibility, request deadlines, applicable usage limits, exclusions, verification requirements, processing methods, and any rules relating to subscription renewals are governed by the SpanishPal Refund Policy.

The Refund Policy forms part of these Terms. Where applicable law gives you greater rights than the Refund Policy, applicable law applies.

Except where the Refund Policy or applicable law provides otherwise, cancelling a subscription does not create a retroactive refund, unused time in a billing period is not automatically refundable, and failure to use the Services does not by itself create a refund right.

Approved refunds are normally returned to the original payment method. Processing time depends on the payment provider, card issuer, bank, and payment method. If payment was processed by an app store or merchant of record, the request may need to be submitted to or processed by that provider.

Nothing in these Terms limits your right to challenge an unauthorized charge or exercise a statutory payment, chargeback, or consumer remedy available under applicable law.

This section applies where you are a consumer in the European Economic Area or the United Kingdom and the relevant consumer law applies. The European Economic Area includes the European Union Member States together with Iceland, Liechtenstein, and Norway.

Initial withdrawal period

You may have the right to withdraw from an eligible distance contract within 14 days after the contract is entered into, without giving a reason. This statutory right is separate from any additional right provided by the Refund Policy.

To exercise a withdrawal right, send an unambiguous statement to [email protected] before the applicable deadline. You may use the model withdrawal form in Appendix A, but use of that form is not mandatory.

Immediate access

SpanishPal normally provides access shortly after payment. By expressly requesting immediate performance during an applicable withdrawal period, you request that the digital service begin before the period expires.

If applicable law permits a proportionate charge for service supplied before withdrawal, that charge may be deducted where the legally required request and disclosures were provided. A right relating to digital content will be treated as lost only where all legally required consent, acknowledgment, and confirmation requirements have been satisfied.

Refund following a valid withdrawal

Where a valid statutory withdrawal requires a refund, we or the applicable merchant of record will process it within the period required by law, normally using the original payment method. No fee will be charged merely for exercising the statutory right.

United Kingdom subscription rights

To the extent the United Kingdom subscription-contract regime is in force and applies to a plan, SpanishPal will honor applicable requirements concerning pre-contract information, reminders, straightforward cancellation, cooling-off rights, and refunds.

Nothing in these Terms limits a mandatory consumer right that cannot legally be waived.

A plan identified as a one-time purchase is charged once and does not automatically renew unless checkout clearly states otherwise.

A plan identified as a lifetime plan means access to the features expressly included in that plan for the commercial operating life of the applicable SpanishPal service or plan. It does not mean the natural lifetime of the purchaser, a guarantee that SpanishPal will operate forever, ownership of SpanishPal or its technology, or access to every future product or separately priced feature.

Unless expressly included, lifetime access does not cover education, business, enterprise, API, white-label, or separately priced third-party services. A lifetime plan is linked to the purchasing account and is normally non-transferable.

We may update, replace, or discontinue individual features as technology and operating requirements change. Any remedy required by mandatory consumer law remains available if the purchased service is permanently discontinued or materially fails to conform to the contract.

“User Content” means information or material you submit through the Services, including text, voice recordings, transcripts, answers, learning goals, uploaded files, feedback, messages, and profile information.

As between you and SpanishPal, you retain any rights you already hold in your User Content. You grant Windvale LLC and its contracted service providers a limited, worldwide, non-exclusive license to host, store, reproduce, transmit, convert, transcribe, analyze, and otherwise process User Content only as reasonably necessary to provide the Services, generate requested AI responses, provide feedback, maintain learning history, protect security, prevent fraud or abuse, troubleshoot problems, comply with law, and perform processing described in the Privacy Policy.

This license ends when the content is deleted and no longer reasonably required, subject to lawful retention, security and dispute records, and temporary backup cycles.

You represent that you have the rights and permissions needed to submit User Content. Do not upload content that violates another person’s copyright, privacy, confidentiality, publicity, voice, image, or other legal rights.

Subject to these Terms, you may use AI-generated conversation responses, corrections, explanations, and learning feedback for personal learning or authorized educational or internal business use.

AI-generated content may not be unique. Another user may receive similar or identical content, and SpanishPal does not guarantee that an output qualifies for copyright or other intellectual property protection or that you receive exclusive rights in it.

SpanishPal retains ownership of its underlying software, models, prompts, interfaces, course structures, tutor designs, templates, teaching content, and proprietary technology. You may not systematically collect, reproduce, publish, resell, or redistribute SpanishPal content as a competing language-learning database, course, application, or commercial service without written permission.

You agree not to use SpanishPal to:

• violate any applicable law or regulation;
• exploit, harm, threaten, stalk, harass, intimidate, or impersonate another person;
• create, request, upload, or distribute child sexual exploitation material or other unlawful sexual content;
• promote hatred or violence against protected groups;
• infringe intellectual property, privacy, publicity, confidentiality, or other legal rights;
• upload malware, viruses, harmful code, deceptive links, or content designed to disrupt systems;
• gain unauthorized access to accounts, systems, networks, prompts, or data;
• test or bypass security controls without written authorization;
• evade usage limits, payment requirements, account restrictions, or enforcement measures;
• scrape, crawl, extract, or collect content through unauthorized automated methods;
• reverse engineer, decompile, or attempt to discover non-public source code or system prompts except where applicable law expressly permits;
• resell, sublicense, rent, transfer, or commercially share a personal account;
• create fraudulent accounts, certificates, payment records, identities, assessments, or language-level claims;
• submit another person’s voice or personal information without required permission;
• overload, disrupt, or interfere with normal operation of the Services;
• systematically extract content to develop or train a substantially competing product without authorization;
• encourage or assist another person to engage in prohibited conduct.

We may use reasonable automated and human measures to detect fraud, abuse, security threats, and violations of these Terms.

SpanishPal and its licensors own all rights in the Services that are not expressly granted to you. Protected materials may include brand names, logos, icons, software, source code, website and application designs, AI tutor designs, graphics, animations, teaching materials, text, audio, video, databases, assessment systems, certificate designs, trademarks, copyrights, and other intellectual property.

You may not remove copyright, trademark, attribution, or proprietary notices. No use of SpanishPal gives you permission to use the SpanishPal name, logo, trademark, or branding in a way that suggests sponsorship, endorsement, partnership, or affiliation.

If you believe content available through SpanishPal infringes copyright or another legal right, contact [email protected].

Your notice should identify the protected work or right, identify the allegedly infringing content, provide information reasonably sufficient to locate it, include your contact information, explain the basis of the complaint, confirm that the information is accurate, and provide any additional information required by applicable law.

We may remove or restrict content while reviewing a complaint. Knowingly submitting a false complaint may expose the sender to legal responsibility.

SpanishPal may depend on or link to third-party services, including payment providers, merchants of record, AI providers, speech-recognition providers, text-to-speech providers, cloud hosting, authentication, analytics, app stores, and external websites.

Third parties may have their own terms and privacy policies. SpanishPal is not responsible for an independent third party’s acts, content, availability, or policies except to the extent responsibility cannot legally be excluded. A third-party interruption may temporarily affect a SpanishPal feature.

Our collection and use of personal information are described in the SpanishPal Privacy Policy.

The Privacy Policy explains account information, voice and text processing, payment information, learning records, AI service providers, retention, international transfers, privacy rights, deletion of learning records, clearing learning data, and account deletion.

Review the Privacy Policy before using voice, conversation, assessment, certificate, or account features.

We may send communications needed to provide or administer the Services, including account verification, password and security notices, payment receipts, subscription notices, trial-ending or renewal reminders, price-change notices, service interruption notices, support responses, and legal or policy updates.

These operational communications are not promotional marketing and may continue while you maintain an account or active transaction. Marketing communications will be sent only where permitted by law, and you may unsubscribe using the method provided in the message.

We aim to provide a reliable service, but we do not guarantee that SpanishPal will always be uninterrupted, error-free, or available on every browser, device, network, or location.

The Services may be temporarily unavailable because of maintenance, software updates, third-party outages, network failures, cybersecurity incidents, legal requirements, or circumstances outside our reasonable control. We may establish reasonable technical and usage limits to protect availability, security, and quality.

SpanishPal may add, update, replace, limit, or remove features to improve learning quality, adopt new technology, improve security, comply with law, address technical limitations, replace a discontinued provider, or meet reasonable business requirements.

For a current prepaid plan, we will not intentionally make a material adverse change that deprives you of the essential service purchased without providing any notice or remedy required by applicable law. New features may be subject to separate terms or fees.

We may suspend, restrict, or terminate an account where reasonably necessary because of a material violation of these Terms, fraud or payment abuse, unauthorized sharing or resale, unlawful activity, security threats, repeated infringement, manipulation of assessments or certificates, a legal requirement, non-payment of an amount properly due, or conduct that materially disrupts the Services.

Where appropriate, we may provide notice and a reasonable opportunity to correct a violation. We may act immediately where needed to address fraud, security threats, illegal activity, risk of harm, or a legal obligation.

You may contact [email protected] if you believe an account action was made in error. If we terminate a paid account for a serious violation by you, a refund may be denied to the extent permitted by the Refund Policy and applicable law.

If we discontinue a current prepaid service without cause and without providing a reasonably comparable service, we will provide any refund or other remedy required by applicable law.

You may stop using SpanishPal at any time. You may also delete selected learning records, clear learning data, cancel automatic renewal, and delete your account through available self-service controls.

Account deletion is generally irreversible after processing begins. Termination does not cancel obligations or liabilities that arose before termination.

Sections concerning intellectual property, payment obligations, liability, disputes, and other provisions that by their nature should continue will survive termination.

Nothing in these Terms excludes or limits a guarantee, warranty, remedy, or consumer right that cannot legally be excluded or limited.

Where applicable law requires SpanishPal to provide the service as described, use reasonable care and skill, correct a defective service, restore conformity, provide a price reduction or refund, or compensate for legally recoverable loss, those obligations remain unaffected.

Subject to mandatory consumer guarantees and other non-excludable rights, SpanishPal is provided on an “as available” basis.

To the fullest extent permitted by law, we do not promise that every AI response or pronunciation assessment will be accurate; that the Services will meet every learning objective; that use will result in fluency within a particular time; that a certificate will be accepted by a third party; that every feature will work on every device or network; that the Services will always be uninterrupted; or that every stored learning record will remain available indefinitely.

These disclaimers do not apply where they would unlawfully exclude a statutory right, liability for fraud, or another responsibility that cannot legally be excluded.

Consumers

If you use SpanishPal as a consumer, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or failure to use reasonable care and skill.

Subject to applicable law, we are not responsible for loss that was not reasonably foreseeable when the agreement was entered into; was caused by inaccurate information supplied by you; resulted from unauthorized or unlawful use; resulted from your voluntary deletion of records or an account; was caused solely by an independent third party outside our reasonable control; or could reasonably have been avoided by following instructions or protecting account credentials.

Business and organization users

If you use SpanishPal primarily for business, professional, institutional, or organizational purposes, Windvale LLC will not, to the fullest extent permitted by law, be liable for indirect or consequential loss, loss of profit, revenue, business opportunity, anticipated savings, goodwill, or loss caused by unauthorized use of an organization account.

For business and organization users, Windvale LLC’s total aggregate liability arising from the Services will not exceed the amount paid by the applicable customer for the affected Services during the 12 months preceding the event giving rise to the claim, unless a separate written agreement provides otherwise.

Liability that cannot be excluded

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence where it cannot be excluded, fraud or fraudulent misrepresentation, gross negligence or willful misconduct where applicable, breach of mandatory consumer law, or any other liability that cannot legally be excluded or limited.

This section applies only to business, education, and organization customers.

To the extent permitted by law, the organization agrees to indemnify Windvale LLC against third-party claims arising directly from the organization’s unlawful use of the Services, content uploaded without required rights, unauthorized collection or submission of student or employee information, instructions that cause SpanishPal to violate applicable law, or a material breach of the organization’s contractual obligations.

This section does not require an organization to indemnify Windvale LLC for loss caused by Windvale LLC’s own negligence, willful misconduct, or violation of law.

We encourage you to contact us before beginning formal proceedings so that we have an opportunity to investigate and resolve the issue.

Send complaints to [email protected] and include the email address associated with your account, any relevant transaction or invoice identifier, the date of the issue, a clear description of the problem, and the resolution requested.

Contacting us informally does not prevent you from exercising a chargeback, statutory complaint, court, regulator, or consumer-protection right.

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles, but only to the extent this choice does not deprive a consumer of mandatory protections available under the law of the consumer’s ordinary place of residence.

If you are a consumer, mandatory consumer law in your country, state, province, or territory remains applicable, and you may bring a claim in any court made available by mandatory law.

If you use SpanishPal for business or organizational purposes, disputes not resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming unless a separate written agreement provides otherwise.

These Terms do not require consumers to submit disputes to mandatory arbitration and do not waive legally protected collective or class-action rights.

We may update these Terms to reflect changes to the Services, new features, legal requirements, security needs, payment or operational changes, or clarification of existing terms.

The revised Terms will display a new “Last Updated” date. Where a change materially affects your rights or an active paid subscription, we will provide reasonable advance notice where required by law.

A change will not retroactively create a new payment obligation for a completed purchase. If you do not agree to a material change, you may stop using the Services and cancel automatic renewal before the change applies to the next billing period.

Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

You agree that contracts, notices, disclosures, receipts, invoices, and other communications may be provided electronically through the website, your account, email, or the applicable payment provider. You are responsible for maintaining a valid account email address.

Electronic records may be saved or printed. Where law requires information to be provided on a durable medium, we or the applicable provider will supply it in a form that can reasonably be stored and accessed.

These Terms may be translated into multiple languages. The English version is the reference version to the extent permitted by law. Any mandatory local-language requirement, including an applicable requirement for Québec consumers, will control where required.

You may not transfer your account or rights under these Terms without our written permission.

Windvale LLC may transfer these Terms as part of a merger, corporate restructuring, financing, acquisition, sale of assets, or transfer of the SpanishPal business, subject to applicable law and without removing mandatory consumer rights.

Neither party will be responsible for a delay or failure caused by circumstances outside that party’s reasonable control, including natural disasters, widespread internet or telecommunications failures, war, civil disturbance, government action, labor disruption, major cybersecurity incidents, or failure of essential third-party infrastructure.

This section does not excuse a payment obligation that became due before the event or limit a mandatory consumer remedy.

These Terms, together with incorporated policies and applicable purchase information, form the agreement concerning your use of SpanishPal.

If a provision is found invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision immediately does not waive the right to enforce it later.

Headings are provided for convenience and do not change the meaning of these Terms. These Terms do not create an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship between you and Windvale LLC.

No person other than you, Windvale LLC, and an applicable contracting payment provider has a right to enforce these Terms except where applicable law provides otherwise.
